# Atom Terms of Service (ATOS)

### 1. Definitions

- **Atom**, **we**, or **us** refers to Atom and its affiliates.
- **You** or **Your** refers to the individual or entity using the Services.
- **Services** means all products, websites, applications, and online or offline offerings provided by Atom.
- **Content** means all text, data, information, graphics, audio, video, and other material available through the Services.
- **User Content** refers to Content provided by a User or Member, including Entries, listings, messages, and feedback.
- **User** means any person or entity that accesses or uses the Services.
- **Member** means a User who has created an account with Atom to access or use any Service.

### 2. Your Agreement with Us; Order of Precedence

By creating an account or using Services, you agree to be bound by these ATOS and any applicable Service Agreements and Guidelines. This Agreement governs your access to and use of the Website and Services.

### 3. Acceptable Use

- **General Obligation**: Use the Services lawfully, responsibly, and only for their intended purposes. 
- **Prohibited Conduct**: You may not use the Services in a way that violates laws or infringes upon rights of others.

### 4. Payments, Credits, Taxes, and Refunds

- **Payments**: All payments for Services must be made through Atom’s authorized payment providers. 
- **Atom Credits**: Non-cash credits redeemable only within the platform.
- **Refunds**: Governed by Atom’s Refund Policy.

### 5. Intellectual Property

You retain ownership of all Intellectual Property Rights in your User Content, but grant Atom a license to use it as necessary to operate the Services.

### 6. Privacy and Data Use

Your use of the Services is subject to Atom’s Privacy Policy. Atom may collect and share information as necessary to provide Services.

### 7. Suspension and Termination

Atom may suspend or restrict your access to Services at any time for violations of the Agreement. Either party can terminate the User Account at any time.

### 8. Disclaimers and Limitation of Liability

The Services are provided on an "as is" basis without warranties of any kind. Atom is not liable for any indirect or consequential damages.

### 9. Indemnification

You agree to indemnify Atom from claims arising out of your use of the Services or your breach of these ATOS.

### 10. Dispute Resolution and Arbitration

- **Informal Resolution**: Parties must attempt to resolve disputes informally before arbitration.
- **Agreement to Arbitrate**: Any dispute will be resolved by final and binding arbitration instead of court.

### 11. General Terms

These ATOS constitute the entire agreement between you and Atom, superseding all prior agreements.

### Acceptance and Effective Date

By creating an account or using Atom Services, you acknowledge that you have read, understood, and agree to these ATOS.
